Terms & Conditions

These Terms and Conditions (“Terms”) govern your use of the ProfitAcc 365 mobile application (“App”) provided by Numak Technology LLC (“Company”, “we”, “us”, or “our”).

By downloading, accessing or using the App, you agree to these Terms.

If you do not agree with these Terms, you should not use the App.

1. About the App

ProfitAcc 365 is a business-to-business (B2B) mobile application that provides authorised employees and representatives of client organisations with mobile access to selected ERP and accounting information.

The App connects to a GraphQL server configured by the relevant client organisation.

The App does not operate as a consumer shopping, e-commerce or payment application.

The App does not provide:

• Consumer registration.
• Guest access.
• Shopping cart functionality.
• Consumer checkout.
• In-app payment processing.
• Customer order placement.
• Advertising functionality.

2. Eligibility

The App is intended for authorised employees, agents and representatives of client organisations using Profit ACC365 or a compatible ERP system.

You may use the App only if:

• You are authorised by the relevant client organisation.
• You have valid credentials issued or approved by that organisation.
• You comply with your organisation’s policies and instructions.
• You comply with these Terms and applicable laws.

You must not use the App if you are not authorised to access the relevant organisation’s ERP system.

3. User Accounts

The App does not provide self-registration.

Your account and login credentials are provided and managed by your client organisation.

You are responsible for:

• Keeping your login credentials confidential.
• Protecting your device.
• Not sharing your account with another person.
• Immediately notifying your organisation if you believe your account has been compromised.
• Using the App only for authorised business purposes.

Your client organisation may suspend, modify or terminate your access according to its own policies.

4. Server Configuration

The App requires a GraphQL server address configured by the client organisation.

The client organisation is responsible for:

• Providing the correct server address.
• Maintaining its server infrastructure.
• Maintaining appropriate server security.
• Maintaining its ERP data.
• Managing user permissions.
• Managing user accounts.

The Company does not guarantee the availability, accuracy or performance of a client organisation’s independently operated server.

5. App Features

Depending on the permissions assigned to you, the App may provide access to:

• Dashboard information.
• Purchase Orders.
• Quotation Sales.
• Stock Enquiry.
• Stock Ledger.
• Account Enquiry and Statements.
• Daily Reports.
• Profit Analysis.
• Document Reports.
• Employee Document Expiry information.
• Post-Dated Cheque reports.
• Other ERP information made available by the client organisation.

Features may vary depending on the organisation’s configuration and your assigned permissions.

6. Purchase Order and Quotation Approvals

The App may allow authorised users to approve or reject existing Purchase Orders and Quotation Sales.

These actions are controlled by the client organisation’s server-side permission system.

The App does not allow users to create new Purchase Orders, quotations or sales records.

If you approve or reject a business transaction through the App, you are responsible for ensuring that you have the authority to perform that action.

The legal or contractual effect of a mobile approval is determined by the applicable agreement, internal policies and laws governing the client organisation.

7. Accuracy of Business Information

The App displays information received from the client organisation’s ERP server.

The Company does not independently verify the accuracy, completeness or reliability of business information supplied by the client organisation.

Financial, accounting, customer, supplier, inventory, employee and other ERP information should therefore be understood as information provided by the relevant organisation’s systems.

The client organisation remains responsible for the accuracy and maintenance of its ERP data.

8. Availability

The availability of the App may depend on:

• Internet connectivity.
• The client organisation’s GraphQL server.
• Server configuration.
• User permissions.
• Authentication services.
• Device operating system and compatibility.
• Maintenance or technical issues.

The Company does not guarantee that the App or a client organisation’s server will always be available, uninterrupted or error-free.

9. Acceptable Use

You agree not to:

• Access an organisation’s data without authorisation.
• Share your credentials with unauthorised persons.
• Attempt to bypass or circumvent permission controls.
• Attempt to gain unauthorised access to the App or server.
• Interfere with the operation of the App or server.
• Introduce malicious code or harmful software.
• Use the App for unlawful purposes.
• Attempt to reverse engineer, decompile or disassemble the App except where permitted by applicable law.
• Copy, modify or redistribute the App without appropriate authorisation.
• Use information obtained through the App for unauthorised purposes.

10. Permissions and Access Control

The App uses permissions provided by the client organisation’s server.

Available modules and actions may change when the organisation changes a user’s permissions.

The Company does not guarantee that a user will always have access to a particular module or function.

The client organisation is responsible for determining appropriate access rights for its users.

11. Intellectual Property

The App, including its software, interface, design, branding, logos, graphics and other original materials, is owned by or licensed to Numak Technology LLC, unless otherwise stated.

“ProfitAcc 365” and related branding are used in connection with the Company’s products and services.

You are granted a limited, non-exclusive, non-transferable and revocable right to use the App for authorised business purposes.

No ownership rights are transferred to you by downloading or using the App.

12. Third-Party Services

The App may interact with services or infrastructure operated by third parties or by the client’s own organisation.

This may include:

• The client organisation’s GraphQL server.
• Google Fonts or related font infrastructure.

Third-party services may have their own terms and privacy policies.

The Company is not responsible for services independently operated by a client organisation or third-party provider.

13. Privacy

Your use of the App is also subject to our Privacy Policy.

The Privacy Policy explains what information is handled by the App, how information is used, where applicable how information is stored, and the responsibilities of the client organisation.

14. Security

You are responsible for maintaining the security of your device and account.

You should:

• Use a secure device passcode.
• Keep your operating system updated.
• Keep your App updated.
• Avoid sharing authentication credentials.
• Report suspected unauthorised access to your organisation.

The Company cannot guarantee that every client organisation’s server or network infrastructure will be free from vulnerabilities.

15. Suspension or Termination

Your access to the App may be suspended or terminated if:

• Your client organisation removes or suspends your access.
• Your account becomes inactive.
• You violate these Terms.
• You attempt unauthorised access.
• The Company or client organisation reasonably believes suspension is necessary for security.
• The App or service is discontinued.

Because user accounts are managed by client organisations, account-level suspension or removal is generally handled by the relevant organisation.

16. Updates and Changes to the App

We may update, modify, improve, suspend or discontinue parts of the App from time to time.

Updates may be necessary for:

• Security.
• Bug fixes.
• Compatibility.
• New features.
• Changes to ERP functionality.
• Legal or regulatory requirements.

Continued use of the App following an applicable update may require installation of the latest version.

17. Disclaimer

To the maximum extent permitted by applicable law, the App is provided for authorised business use and is dependent on information and services supplied by the relevant client organisation.

We do not guarantee that:

• The App will always be available.
• The App will always be error-free.
• Information supplied by a client organisation will be accurate or complete.
• A client organisation’s server will always be available.
• A particular ERP module or feature will always be available.
• The App will meet every individual business requirement.

The App should not be treated as a substitute for appropriate business, accounting, financial, legal or professional review.

18. Client Organisation Responsibilities

Each client organisation is responsible for:

• Its ERP data.
• Its users.
• User permissions.
• Server security.
• Account management.
• Data retention.
• Internal approval procedures.
• Compliance with applicable data-protection and business laws.
• Ensuring its users are properly authorised.

19. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be published through the applicable Terms and Conditions URL.

Your continued use of the App after the effective date of updated Terms may constitute acceptance of the updated Terms where permitted by applicable law.

These Terms, together with the Privacy Policy and any applicable agreements between the Company and the client organisation, constitute the applicable terms governing use of the App.

Where a separate agreement exists between the Company and a client organisation, that agreement may contain additional provisions governing the organisation’s use of ProfitAcc 365.
